By continuing to use TerraMaster products and software, you agree to comply with all the terms stipulated in the End User License Agreement (EULA). If you do not agree to this Agreement, do not use TerraMaster products and software. Please contact a TerraMaster distributor for a return and refund. Once you use TerraMaster products and software, it indicates that you agree to be bound by this Agreement.

1. Definitions

TerraMaster Software (TOS, TNAS PC, TNAS Mobile, etc., collectively referred to as the “Software”) includes, but is not limited to, firmware, software, media, and printed or electronic documentation related to TerraMaster products (collectively referred to as the “Products”).

2. Intellectual Property Rights

TerraMaster or its licensors own all rights, titles, and interests in and to the Software, including all copyrights and other intellectual property rights. TerraMaster grants you a limited right to use the Software; you do not have the rights to exclusivity, transfer, or republication. TerraMaster reserves all rights not expressly granted to the user under this Agreement.

3. Account Management

3.1. Account Registration and Login

(1) To use TerraMaster services, you may choose to register an account using your mobile number or other methods approved by TerraMaster (specific methods may vary depending on your country or region).

(2) We provide third-party platform authorized login functionality, provided that you have a legitimate account on the third-party software or platform and meet the relevant legal and regulatory requirements.

(3) The account name and password you set serve as login credentials for accessing and using TerraMaster services; please ensure the security of this information.

(4) You acknowledge that this account is a globally unified TerraMaster account, which is necessary for us to provide global services to you.

3.2. Account Information and Security

(1) All information you provide during registration must be true, accurate, and complete; in the event of any changes, you should update the information promptly. If false information is provided, we reserve the right to restrict or terminate your account.

(2) You are responsible for properly protecting your account information to prevent unauthorized access or use. If any unusual activities or security vulnerabilities are detected, please notify us immediately and take appropriate protective measures.

3.3. Account Conduct Guidelines

Without the express written consent of another person, you may not create a TerraMaster account in their name, nor impersonate or imitate another’s name, business name, trademark, or avatar as your account information. During account use, you must not engage in any conduct that misleads or confuses the public regarding the ownership of the account, especially actions that could cause confusion with well-known institutions or individuals. You must not infringe the legitimate rights of others, including personal rights and property rights, in any form. We reserve the right to review the account information you submit. If your submitted account information is not in compliance with applicable laws, administrative regulations, governmental rules, or the terms of this Agreement, we have the right to take actions in accordance with laws and regulations, including issuing warnings and reminders, requiring corrections within a specified period, resetting account information, restricting account functions, suspending use, closing the account, or prohibiting re - registration.

3.4. Account Transfer and Sharing

(1) A TerraMaster account is exclusively for the use of the original registrant and is strictly prohibited from being transferred, lent, or shared with others.

(2) If we discover or have reasonable grounds to suspect that the account is not being used by the original registrant, we reserve the right to suspend or terminate the service.

3.5. Responsibility for Account and Password Security and Confidentiality

You must take all necessary measures to maintain the security and confidentiality of your TerraMaster account and password. All operations performed through your account and password shall be deemed to be your own actions, for which you shall bear full legal responsibility. This includes, but is not limited to, any potential legal liabilities arising from content you upload, download, share, or publish in TerraMaster services. If you believe your account or password may have been used unlawfully or if there are other issues related to account security, you must notify us immediately. If you lose access to your account or forget your password, you may attempt to recover it by following the instructions and procedures we provide. You understand and accept that our account recovery process primarily relies on matching and verifying the account information you provide against system records. We cannot guarantee successful recovery of your account, nor can we verify whether the claimant is the legitimate rights holder of the account. Therefore, you must ensure that the information provided during registration and use of the account is accurate, complete, and up to date. You shall bear sole responsibility for any losses or risks arising from inaccurate account information or negligent safekeeping thereof.

3.6. Use of Associated Version Services

Unless explicitly stated otherwise, you shall understand that when you log in with your TerraMaster account and use any associated versions or features, you are simultaneously bound by this User Agreement, the user agreements for the associated versions, and other relevant legal documents. If there are any conflicts or inconsistencies between the associated version user agreements or other legal documents and this User Agreement, the associated version user agreements or other legal documents shall prevail.

3.7. Coordinated Management

We may adopt coordinated management measures for TerraMaster and its associated versions. For example, if you are penalized in TerraMaster services for actions violating laws, regulations, or the provisions of this Agreement, your use of associated versions and related services may also be correspondingly affected, and vice versa.

3.8. Account Deletion

You may apply to cancel your TerraMaster account. You may only apply to cancel your own account and must follow the relevant procedures to complete verification of account ownership. After account cancellation, we will delete or anonymize the information in the account (or take other similar measures),

 except as otherwise required by laws, regulations, or relevant standards regarding retention periods or processing methods. After account deletion, you will no longer be able to log in to TerraMaster services with the deleted account, nor recover any content or information associated with it. Even after account cancellation, you remain liable for any actions you took using TerraMaster services prior to cancellation.

4. Copyright Protection

The software content owned by TerraMaster or its licensors is protected by copyright, and individuals appearing in the software may enjoy portraiture rights. Unless you have obtained permission from the rights holder, you may not share the content of the software with others. You acknowledge that sharing such content with others constitutes an infringement of copyright or other intellectual property rights and also violates this Agreement.

5. Use of Documentation

You may copy and use the documentation provided with the software.

6. Backup and Archiving

You may make an appropriate number of copies of the software for backup or archival purposes.

7. Usage Restrictions

You may neither, nor authorize any third party to:

(a) Use the software for any other purposes unrelated to device operation;

(b) License, distribute, rent, lease, lend, transfer the software, or use the software;

(c) Reverse engineer, decompile, disassemble, or attempt to crack or bypass code related to the software;

(d) Modify, alter, translate, or create any derivative works of the software.

8. Device and Access Responsibility

You fully understand and agree that all hardware devices related to the use of TerraMaster products and software (including but not limited to personal computers, mobile phones, network devices, and other devices required to access the Internet or mobile networks), as well as any associated costs (including but not limited to telephone fees, Internet access fees, and mobile data fees for mobile network usage), shall be borne and resolved by you at your own expense.

9. User Conduct Guidelines

When using this product and software, you must comply with the laws and regulations, social morals, and public order of the People's Republic of China and your country or region, and you undertake not to use the product and software for any illegal or infringing activities that harm the legitimate rights of others. 

This includes but is not limited to:

  1. Prohibited Content: Do not upload, store, process, or transmit any content with the following characteristics:

   ① Opposing the fundamental principles established by the Constitution;

   ② Engaging in any illegal transactions, such as the sale of firearms, drugs, controlled substances, or other prohibited items.

   ③ Damaging national honor and interests;

   ④ Inciting ethnic hatred or discrimination, or undermining ethnic unity;

   ⑤ Undermining national religious policies, promoting cults or feudal superstitions;

   ⑥ Spreading rumors, disturbing social order, or undermining social stability;

   ⑦ Distributing obscene, pornographic, gambling, violent, murderous, terrorist content, or content that incites criminal activity;

   ⑧ Insulting or defaming others, or infringing upon the legitimate rights of others;

   ⑨ Infringing upon any third party’s patent, copyright, trademark, reputation, or other legal rights;

   ⑩ Information containing other content prohibited by laws or administrative regulations.

   (2) Prohibited Activities: Engage in or participate in the following activities:

   ① Infringing upon the privacy, trade secrets, or other legitimate rights of others;

   ② Engaging in any illegal transactions, such as selling firearms, drugs, controlled substances, or other prohibited items;

   ③ Planning or carrying out money laundering, cash-out schemes, telecom fraud, or other illegal activities;

   ④ Accessing or attempting to access or damage any part of the products, software, or related systems or networks without authorization;

   ⑤ Impersonating others, misrepresenting, or falsely claiming a relationship with any individual or entity;

   ⑥ Using the products and software for illegal purposes, in any unlawful manner, or in violation of this Agreement, or committing fraud or other malicious acts.

   ⑦ Collecting information from other users, or using automated means (such as crawlers or bots) to access or extract data without permission;

   ⑧ Using the products and software for commercial purposes without prior written consent from TerraMaster;

   ⑨ Soliciting others’ login information or accessing others’ accounts;

   ⑩ Engaging in other activities that violate national laws, regulations, rules, or policy directives.

10. Network Security and Usage Restrictions

To ensure the integrity and stability of the products and software, you agree and acknowledge:

   (1) Not to use, deploy, or distribute any plugins, add-ons, systems, or third-party tools that may interfere with, disrupt, or modify the normal operation of the products and software.

   (2) Not to use or employ any automated programs, scripts, software, or similar tools to directly or indirectly access the products and software in order to collect, store, process, or transmit any information or content therein, unless you have obtained our prior written permission.

   (3) Not to engage in or assist others in any activities that may compromise the security of the products and software or any other computer network, including but not limited to unauthorized intrusion, interference, or system damage; spreading malicious programs; forging network data; or reverse engineering the software.

11. Data Responsibility and Compliance

(1) Data Control: You are the owner and controller of the data stored in the products and software. TerraMaster will not independently upload, download, copy, share, or provide your content, nor will it modify, edit, or intervene in the content you transmit.

(2) User Responsibility: You fully understand and agree that all data and content you upload, store, and share are under your personal decisions and control. You must ensure compliance with all applicable laws and regulations. As the complete controller of such data, you bear all legal obligations and potential consequences arising therefrom.

(3) Compliance: You acknowledge and agree that the use of the products and software must comply with all applicable laws and regulations, including export control and sanctions laws. You undertake not to directly or indirectly export, re-export, transmit, or make the products and software available to any country, entity, or individual subject to applicable export control laws or sanctions.

12. Support Services

During the product warranty period, TerraMaster will provide support services and make reasonable efforts to correct or replace any software that does not comply with the warranty terms.

13. Disclaimer

You understand and agree that, to the maximum extent permitted by law, TerraMaster and its suppliers shall not be liable for the following:

   (a) Any direct or indirect losses resulting from your violation of any usage guidelines, network security, or compliance requirements set forth in Sections 8, 9, or 10 of this Agreement.

   (b) Any third-party claims, administrative penalties, lawsuits, or disputes arising from the data or content you store, process, or share;

   (c) Data loss, leakage, or damage caused by operational errors, password disclosure, improper device management, or other reasons not attributable to TerraMaster;

   (d) Losses caused by force majeure events (such as fire, earthquake, flood, lightning), network service interruptions, power supply issues, or other factors beyond TerraMaster’s control;

   (e) TerraMaster and its suppliers do not guarantee that the software is completely free of vulnerabilities, errors, viruses, or other defects.

14. Limitation of Liability

Under no circumstances shall TerraMaster or its licensors be liable for any direct or indirect losses or expenses incurred by you (including but not limited to data loss, loss of revenue, profits, or business). The maximum liability of TerraMaster and its suppliers shall not exceed the amount you actually paid for the TerraMaster products and software.

15. Remedies for Breach

(1) Breach: Any violation of this Agreement by you, or any conduct we reasonably believe may cause harm or legal liability to the operation of the products and software, other users, or third parties, shall be considered a breach.

(2) Sanctions: We reserve the right to take one or more of the following actions based on the nature, severity, and frequency of the breach:

   ① Issue a warning regarding the violation;

   ② Require you to provide a written explanation;

   ③ Suspend or terminate part or all of the services provided to you without prior notice;

   ④ Freeze, restrict, or delete your account;

   ⑤ Report to relevant legal, administrative, or other authorities and cooperate with investigations;

   ⑥ Pursue your legal liability and require you to compensate TerraMaster or third parties for all resulting losses.

(3) Consequences: You shall bear all consequences arising from your breach, including limited functionality, account deletion, or loss of rights within the account. We are not obligated to restore such rights.

16. Protection of Third-Party Rights

(1) Respect for Third-Party Rights: We place high importance on protecting and are firmly committed to safeguarding the intellectual property rights, reputation, name rights, privacy, and other legal rights of all users and other third parties.

(2) Indemnification: If your actions cause TerraMaster to incur any form of compensation, fines, legal fees, litigation damages, or economic losses, or result in non-economic losses such as damage to TerraMaster’s reputation or goodwill, you shall be fully responsible for compensating all losses suffered by TerraMaster, including both direct and indirect losses.

17. Termination of Agreement

If you fail to comply with the terms and conditions of this Agreement, TerraMaster has the right to terminate this Agreement. In such case, you must cease using the software and destroy all copies of the software and all its components.

18. Governing Law

Unless explicitly prohibited by local law, these terms are governed by the laws of China, without regard to any conflicting legal principles. The 1980 United Nations Convention on Contracts for the International Sale of Goods or any subsequent conventions shall not apply.

19. Dispute Resolution

Any disputes, claims, or conflicts shall be finally resolved in accordance with the Arbitration Law of the People's Republic of China and relevant enforcement laws. The arbitration decision shall be final and binding on both parties and enforceable by any court with jurisdiction.

20. Severability

If any court with jurisdiction holds any provision of this Agreement to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall continue to be valid and enforceable.

21. Language Version

This Agreement has been translated into Chinese from the original English version. In case of any discrepancy with the English interpretation, the English version shall prevail.
